Rouzbeh (“Rouz”) Soleymani is a deal lawyer who represents private fund sponsors, investors, and emerging companies in fund formation, M&A, venture capital, and finance transactions. He is an associate in Stradling’s Corporate and Securities practice group.
Rouz advises private equity, venture capital, and real estate sponsors across the fund lifecycle. He structures and forms funds and drafts and negotiates limited partnership agreements, private placement memoranda, subscription documents, side letters, and other offering documents for capital raises. He also counsels sponsors on ongoing fund operations, including governance, investor relations, and portfolio-level transactions, and represents them in dispositions and exits.
His M&A practice covers buy-side and sell-side acquisitions, mergers, and divestitures for strategic buyers, sponsors, and their portfolio companies. Rouz also represents venture capital firms and emerging companies in seed and growth-stage financings, and counsels founders and boards from formation through exit on governance and capitalization.
Rouz has substantial experience in leveraged buyouts and debt finance. He represents sponsors, borrowers, and institutional lenders in acquisition financings, secured and unsecured credit facilities, and other commercial lending transactions.
Before joining Stradling, Rouz worked at PwC, where he structured cross-border and multi-jurisdictional mergers, acquisitions, and divestitures and advised on U.S. inbound and outbound tax matters. That background informs how he structures funds and transactions.
Rouz earned his J.D. from the University of California, Irvine School of Law, where he served as an editor of the UCI Law Review. He received his B.A. in Business Administration, with an emphasis in finance, summa cum laude and as a Regents Scholar from UC Irvine’s Paul Merage School of Business. He serves on the Executive Board of the Dean’s Leadership Circle at Merage.
