Amanda McFall is a partner in Stradling’s Corporate and Securities Practice Group, representing many of the firm’s public company and investment banking clients. Her practice focuses on capital markets transactions and public company matters, including Exchange Act reporting, SEC and FINRA compliance, stock exchange listings, and executive compensation and corporate governance matters, advising clients across various industries, including technology, life sciences, banking, and e-commerce. Amanda has successfully guided numerous public company and investment banking clients through initial public offerings, follow-on offerings, secondary-market transactions, and private placements. She also has considerable experience advising on complex commercial agreements and licensing matters.
Before joining Stradling, Amanda gained valuable in-house experience at Amazon, advising on strategic and regulatory issues encompassing antitrust, pricing, data sharing, intellectual property, finance, and marketing.
Her notable transactions include representing Marathon Digital Holdings in a $1.5 billion at-the-market offering and serving as counsel to underwriters in the initial public offering of GEN Restaurant Group, the owner of the fast-growing GEN Korean BBQ chain. Amanda also represented The Real Good Food Company in its $64 million IPO, and Tandem Diabetes Care, Inc. in its $288 million private placement of convertible notes and $109 million follow-on public offering. She has also advised VolitionRx Limited in numerous public offerings, including its recent $30 million at-the-market offering. Amanda’s extensive experience and strategic insight make her a valuable asset to her clients in navigating the complexities of the capital markets and SEC reporting.
