Senior Corporate Associate
We are seeking an experienced Senior Corporate Associate to join our Corporate & Securities practice group in our Westlake Village or Santa Barbara office. The ideal candidate will have substantial experience in venture capital transactions, M&A, and general corporate matters, with the ability to work independently while mentoring junior associates. This role offers the opportunity to work on sophisticated transactions for market-leading clients across various industries. Life science industry experience is a bonus, but not required.
Key Responsibilities:
- Lead and manage venture capital financings, including Series A-C rounds, convertible note offerings, and SAFE transactions
• Handle middle-market M&A transactions, including stock and asset purchases, mergers, spin-offs, and joint ventures
• Draft, review, and negotiate complex transaction documents including purchase agreements, investment agreements, stockholder agreements, and disclosure schedules
• Provide ongoing corporate governance advice to public and private companies
• Mentor and supervise junior associates and support staff
• Develop and maintain strong client relationships
• Collaborate with other practice groups including tax, employment, IP, and regulatory teams
Required Qualifications:
- J.D. from an accredited law school with strong academic credentials
• 4-7 years of corporate law experience with emphasis on venture capital and M&A transactions
• Experience with general corporate matters including entity formation, corporate governance, and securities compliance
• Demonstrated ability to manage multiple complex transactions simultaneously
• Strong drafting, analytical, and communication skills
• Ability to work effectively under pressure and meet tight deadlines
